These Terms & Conditions govern all engagements between you and Tompli IT Solution, a brand operated under MEERAGUN SERVICES (UDYAM Registration: UDYAM-MH-26-0220963).
1. Acceptance
By using our website or engaging our services, you agree to these terms in full.
2. Services
We provide software development, web, mobile, AI, cloud, DevOps, design and related consulting services under separate scope-of-work documents that reference these terms.
3. Payments
Fees, milestones and payment schedules are defined per project. Invoices are payable within the agreed period. Applicable taxes (GST for India) will be added where required.
4. Project Timelines
Timelines are estimates based on assumptions and client responsiveness. Delays caused by scope changes, delayed approvals or third-party dependencies may adjust delivery dates.
5. Client Responsibilities
Clients must provide accurate information, timely feedback, required accounts, credentials and content necessary for successful delivery.
6. Intellectual Property
Upon full payment, ownership of custom-developed deliverables transfers to the client. Pre-existing frameworks, tools and libraries remain owned by Tompli IT Solution.
7. Confidentiality
Both parties agree to keep confidential information private and use it solely for project purposes.
8. Third-Party Services
Projects may rely on third-party services (hosting, APIs, SaaS). We are not liable for third-party outages, pricing changes or terms updates.
9. Termination
Either party may terminate an engagement with written notice per the SoW. Fees for completed work are payable on termination.
10. Warranty Disclaimer
Services are provided "as is" without warranties of any kind, express or implied, beyond those explicitly stated in the SoW.
11. Limitation of Liability
Our aggregate liability is limited to fees paid for the specific engagement in the three months preceding the claim.
12. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control including natural disasters, pandemics, government actions or infrastructure failures.
13. Jurisdiction & Dispute Resolution
These terms are governed by the laws of India. Disputes will first be attempted to be resolved amicably; failing which, courts in Maharashtra, India shall have exclusive jurisdiction.
14. Applicable Laws
All engagements comply with applicable Indian and international laws, including the Information Technology Act, DPDP Act and GST regulations.
